Terms & Design Use Policy

EYEGUAR is a Zurich-based eyewear design house specializing in limited-production sunglasses, distinctive design expressions and individually commissioned creations.
These Terms & Design Use Policy govern access to EYEGUAR's website, publicly available design materials, digital services and, where expressly incorporated into an agreement, related commercial transactions.
By using our website, you agree to comply with the applicable website-use provisions of this Policy. Purchase-specific obligations apply where validly incorporated into a contract.
Separate agreements may govern wholesale purchases, licensing, bespoke commissions, manufacturing partnerships, confidential disclosures and institutional transactions.
Nothing in this Policy limits rights or remedies that cannot lawfully be excluded.
1. Confidentiality & Proprietary Information
EYEGUAR develops and maintains proprietary design portfolios, technical documentation, pricing structures, manufacturing information and commercial strategies.
Public access to our website does not constitute permission to commercially exploit protected materials.
Confidential information disclosed through restricted catalogues, private data rooms, manufacturing collaborations or institutional evaluations may be subject to a separately executed Non-Disclosure Agreement (NDA) or another valid confidentiality undertaking.
Where such an agreement applies, recipients must protect the disclosed information and refrain from unauthorized reproduction, distribution or disclosure in accordance with its terms.
EYEGUAR reserves the right to pursue available legal remedies against infringement, misuse of confidential information or breach of applicable contractual obligations.
2. Intellectual Property, Swiss Copyright & Design Ownership
EYEGUAR's original eyewear designs, illustrations, 3D renders, technical drawings, product photography, written materials, trademarks and other creative assets may be protected by applicable copyright, design, trademark and unfair competition laws.
Protection applies according to the legal status and requirements of each individual asset.
Unless expressly stated otherwise, EYEGUAR retains or controls the intellectual property rights necessary for the authorized use of its proprietary materials.
No website access, product purchase or commercial inquiry grants a license to reproduce, manufacture, distribute or commercially exploit EYEGUAR designs.
Unauthorized commercial copying, adaptation, distribution or imitation of protected materials is prohibited to the extent provided by applicable law.
Any transfer or licensing of intellectual property rights must be expressly agreed in writing by the authorized rights holder.
3. Limited Production, Order Finality & Returns
EYEGUAR sunglasses are offered in carefully defined global production allocations.
The Foundation and Signature collections are each limited to a maximum global allocation of 1,000 units per individual model.
The Trinity collection follows individual allocations:

FARFALLA — 10 units
These figures represent the maximum intended production allocation of each respective model and do not indicate remaining availability.
Individual products may receive unique serial identification and accompanying authenticity documentation.
Order finality
For purchases governed exclusively by Swiss law, EYEGUAR does not offer a general voluntary change-of-mind return or cancellation right unless expressly stated in the applicable purchase agreement.
Once an order has been accepted, cancellation or modification requires EYEGUAR's agreement, except where applicable law grants the customer a right to cancel or withdraw.
The assignment of a serial number or production allocation does not exclude remedies for defective, non-conforming or undelivered goods.
For international consumer transactions, mandatory withdrawal, cancellation and other consumer protections applicable to the transaction remain unaffected.
4. Lifelong Archival Support & Authenticity Verification
EYEGUAR regards its creations as enduring design objects and seeks to preserve their authenticity, provenance and long-term integrity.
Where available, individual products may be accompanied by certificates of authenticity, serial identification and ownership documentation.
EYEGUAR may offer archival assistance, authentication assessments, restoration coordination or replacement-part services, subject to the capabilities, availability and conditions communicated for the relevant product.
For security and provenance purposes, EYEGUAR may require advance authorization before accepting products for authentication, servicing or restoration.
Customers should contact EYEGUAR before shipping any product for assessment.
Any additional authentication technologies, secure transport arrangements or specialized restoration services will be described separately where offered.
Archival support is supplementary to, and does not replace, applicable statutory warranty rights or contractual remedies.
5. Bespoke Orders & Downpayments
Certain EYEGUAR creations may involve individual design modifications, specialized materials, high-jewelry integration or other bespoke production requirements.
Such commissions are governed by an individual written quotation or bespoke agreement.
Unless otherwise agreed, a bespoke commission may require a 50% advance payment before production begins.
The agreement will specify the approved design, production scope, anticipated schedule, payment milestones and cancellation conditions.
Where permitted by applicable law, EYEGUAR may retain advance payments to cover committed materials, completed design work, allocated production capacity and other agreed non-recoverable costs arising from customer cancellation.
Any agreed non-refundable amount must be clearly disclosed before the customer enters into the contract.
Mandatory cancellation, withdrawal, refund and other customer rights remain unaffected.
6. Licensing & Wholesale Infrastructure
EYEGUAR offers selected commercial relationships through individually negotiated wholesale, distribution and licensing agreements.
Such agreements may address geographic territories, product categories, permitted sales channels, minimum purchase quantities, intellectual property usage and brand presentation requirements.
Wholesale purchasers receive rights to distribute authentic EYEGUAR products only to the extent expressly agreed.
Wholesale purchases do not transfer ownership of EYEGUAR intellectual property or authorize independent manufacturing, reproduction or creation of derivative products.
Licensing rights, territorial exclusivity and other commercial permissions must be expressly documented in a separate written agreement.
Unauthorized alteration of EYEGUAR branding, product identification or protected designs is prohibited to the extent provided by the applicable agreement and law.
7. Design Previews & Render Disclaimer
EYEGUAR uses digital renders, 3D visualizations, technical illustrations and contextual presentations to communicate its design intentions.
These materials may represent products prior to completion of technical engineering, prototyping or final manufacturing.
Reasonable variations in material texture, finish, color appearance and other non-essential characteristics may arise from screen calibration, material properties and production processes.
Such variations do not authorize EYEGUAR to substitute a materially different product for the one contractually agreed.
Where relevant, approved technical drawings, specifications, physical samples and written order confirmations establish the agreed production requirements.
Material changes affecting the product's agreed appearance, functionality or specifications will be addressed with the customer in accordance with the applicable contract and law.
8. System Security & Access Controls
Access to restricted EYEGUAR systems, private catalogues, partner portals or confidential materials may require individually issued credentials.
Authorized users are responsible for taking reasonable measures to protect their access credentials and prevent unauthorized use.
Credentials may not be transferred or shared without EYEGUAR's authorization.
EYEGUAR may suspend or revoke access where reasonably necessary to address security risks, unauthorized activity or breaches of applicable access conditions.
Personal data collected through these systems is handled in accordance with the EYEGUAR Privacy Policy and applicable data protection requirements.
9. Limitation of Liability
To the extent permitted by applicable law, EYEGUAR excludes liability for indirect or consequential commercial losses arising from website interruptions, unauthorized third-party activity or the use of informational materials.
EYEGUAR does not guarantee uninterrupted website access or the absolute accuracy of digital color representations across different devices.
Nothing in this Policy excludes or restricts liability for unlawful intent, gross negligence or other liability that cannot legally be excluded.
Nothing in this section limits applicable rights arising from defective goods, breach of expressly agreed product specifications or mandatory consumer protection legislation.
10. Governing Law & Jurisdiction
This Policy is governed by the substantive laws of Switzerland, subject to mandatory legal provisions that apply to individual transactions.
For disputes arising from commercial agreements with business customers, and to the extent legally permissible, the courts of Zurich, Switzerland, shall have jurisdiction unless otherwise agreed in writing.
Mandatory consumer jurisdiction rules and other non-excludable statutory protections remain unaffected.
Where separate written agreements contain specific governing-law or jurisdiction provisions, those provisions apply to the relevant contractual relationship to the extent legally valid.
