Terms & Design Use Policy

By accessing, browsing, or using the digital ecosystem and services provided by EYEGUAR (including our website, public and private catalogues, visual materials, pitch decks, or direct communications), you agree to comply with and be bound by this Terms & Design Use Policy. If you do not agree, please exit the platform immediately.

1. Confidentiality & Proprietary Information

By interacting with EYEGUAR’s proprietary content (including unreleased portfolios, pricing frameworks, custom architectural blueprints, or strategic licensing data), you enter into a binding non-disclosure obligation.

* Prohibition: You agree not to share, reproduce, deconstruct, or disclose any proprietary assets to third parties.

* Scope: This obligation applies strictly to all retail curators, agencies, manufacturers, institutional evaluators, and competing designers.

* Enforcement: EYEGUAR reserves the absolute right to pursue civil and criminal legal action, including injunctions and damages, for any breach of confidentiality.

2. Intellectual Property, Swiss Copyright & Design Ownership

All eyewear designs, 3D architectural renders, sculptural concepts, technical blueprints, product images, and assets displayed by EYEGUAR are the exclusive intellectual property of EYEGUAR and are legally protected under Swiss Intellectual Property Law (Federal Institute of Intellectual Property - IGE), including Swiss copyright and design protection regulations (Designgesetz - DesG).

* Restrictions: Unauthorized reproduction, digital extraction, distribution, reverse engineering, or physical imitation—whether in full, part, or modified form—is strictly prohibited.

* Retention of Rights: EYEGUAR retains full, undivided ownership of all intellectual property at all times. Licensing agreements or wholesale purchases do not constitute a transfer of IP ownership unless explicitly defined in a separate, written contract signed by the founders of EYEGUAR.

3. Bespoke Orders & Non-Refundable Downpayments

For pieces requiring individual bespoke creation, high-jewelry integration, or historic record attempts (including the Trinity Series):

* Financial Terms: Production commences exclusively upon receipt of a 50% non-refundable downpayment.

* Cancellation: Due to the hyper-customized nature, sourcing of rare materials, and artisan allocation required for these pieces, this initial payment is strictly forfeited upon client cancellation or default.

4. Licensing & Wholesale Infrastructure

* Individualized Frameworks: All licensing agreements are governed by sovereign, tailored contracts based on geographic territory, product classifications, and specific exploitation rights.

* Modifications: Clients and B2B partners are strictly prohibited from redistributing, modifying, altering branding, or claiming derivative ownership of EYEGUAR designs outside the exact, contracted parameters.

5. Architectural Previews & Render Disclaimer

All design visuals within the EYEGUAR ecosystem — including high-fidelity 3D renders, enhanced contextual previews, and creative generative media — serve as exact conceptual representations of our design intent.

* Production Refinements: While uncompromising standards are maintained, minor microscopic deviations in material grain, structural texture, precise color hue, or final physical build may occur due to specialized luxury manufacturing techniques or custom artisan refinements.

* Contractual Basis: The final technical blueprint and production specimen, mutually validated prior to execution, serve as the definitive benchmark for production quality.

6. System Security & Access Controls

Should digital access to restricted corporate portals, secure B2B pricing layers, or private design arrays be granted via credentials, you are solely responsible for maintaining strict confidentiality. Any unauthorized dissemination of access keys or corporate profile misuse will trigger immediate revocation of access and potential legal assessment.

7. Limitation of Liability

EYEGUAR shall not be held liable for any indirect, incidental, or consequential commercial damages resulting from the utilization, retail distribution, or licensing of our creations. Minor optical deviations caused by hardware display rendering, screen calibrations, or production physics do not constitute a breach of contract or ground for liability.

8. Governing Law & Jurisdiction

This policy, and all strategic interactions arising from it, shall be exclusively governed by, construed, and enforced in accordance with the substantive laws of Switzerland, excluding its conflict of law rules. The exclusive place of jurisdiction for all disputes, legal claims, or intellectual property violations is Zurich, Switzerland.
